3. Quotes and payment

Project fees will be quoted in writing before work begins. Unless otherwise agreed, invoices are issued according to the milestones set out in the project proposal and are payable within 14 days of the invoice date. We reserve the right to pause work if payment is not received on time.

All quoted fees are exclusive of VAT, which will be added at the applicable rate where required by law.

4. Intellectual property

Upon full and final payment of all project fees, we assign to you the ownership of the final deliverables created specifically for your project, excluding any third-party materials, stock assets, or our pre-existing intellectual property. We retain the right to use your project as part of our portfolio unless you request otherwise in writing.

All content on this website, including text, graphics, logos, and code, is the property of MQB Digital or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without our prior written permission.

5. Client obligations

To enable us to deliver your project efficiently, you agree to:

• Provide timely access to any accounts, content, or information we reasonably require
• Review and provide feedback on deliverables within the agreed timeframes
• Ensure that any materials you provide to us do not infringe the rights of any third party

Delays caused by a failure to meet these obligations may extend project timelines and may affect pricing if the scope of work changes.

6. Limitation of liability

To the fullest extent permitted by law, MQB Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services.

Our total liability for any claim arising from a project shall be limited to the total amount paid by you for that specific project. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

7. Termination

Either party may terminate a project by giving written notice if the other party materially breaches the agreement and fails to remedy the breach within 14 days of receiving notice. Upon termination, you will be liable for payment of all work completed up to the date of termination.
